11.2 Risk-Based Compliance Framework

The legal and regulatory requirements of Mining RWA vary with the underlying asset, the Asset Structure, the type of service, the participants and the applicable jurisdiction.

MPC works towards a Risk-Based Compliance Framework that applies the controls required by the characteristics of each project and service.

The Compliance Scope of the MPC Platform and the Regulatory Scope of an individual Asset Token are distinct.

MPC provides Platform Infrastructure and the related technical controls for building Mining RWA. The legal character, Issuer Structure, Investor Eligibility, Offering and Distribution method, and any required licences of an individual Asset Token must be reviewed separately according to that project's underlying assets, rights structure and applicable jurisdiction.

Where an Asset Token is classified as a security or another regulated financial product, its issuance, offering and distribution must be carried out through an eligible Issuer and, where required, a Licensed / Regulated Service Provider under the applicable law.

The fact that the MPC Platform provides technical Infrastructure does not by itself make MPC the legal issuer of an individual Asset Token or a regulated Distribution Provider.
